These Terms and Conditions ("T&Cs") govern the use of the digital product passport and certificate of ownership service made available through this website (the “Site”).

The Site is operated by Axopar Boats Oy (Ltd.), a company incorporated under the laws of Finland, having its registered office at Salmisaarenaukio 1, 00180 Helsinki, Finland, registered with the Finnish Trade Register under Business ID 2611096-1 (the “Axopar”).

The blockchain infrastructure used to enable certain technical functionalities of the Site is operated by AURA Consortium acting solely as a technical service provider. AURA Consortium is not a party to these Terms and Conditions.

When used in these T&Cs, the following terms shall have the meaning set forth below:

“AURA Consortium” means the private blockchain consortium infrastructure used to anchor product and ownership data. 
“Blockchain” means a distributed ledger technology designed to record transactions in an immutable and verifiable manner. 
“Certificate of Ownership” means a non-fungible token (NFT) recorded on the AURA Consortium blockchain, evidencing the registered ownership status of a Product. 
“Customer” means a natural person acting as a consumer, or a legal entity acting for business purposes, unless expressly stated otherwise.

The purpose of the present T&Cs is to define the conditions under which a customer (the "Customer") who purchased a product (the “Product”) from Axopar may access information on the Product and claim the digital certificate of ownership relating to such Product ("Certificate of Ownership").

Access and use of the Site are subject to the present T&Cs. By accessing the Site, including by logging in and using the Site, the Customer accepts these T&Cs without reservation.

These T&Cs are supplemental to, and do not replace any agreement the Customer may have with Axopar or any terms and conditions that may apply to other services offered by Axopar. In particular, orders of Products placed through the Axopar website or direct sales representatives are subject to the relevant applicable terms and conditions.

The Customer indicates acceptance of these T&Cs and the applicable Privacy Policy by checking the tick box stating: "I agree to the Terms and Conditions of the Site".

Axopar may update and modify the T&Cs at any time. Customers will be informed of any such changes through the "Last Update" section, and the Customer will be deemed to have accepted the changes upon the first use of the Site after having been informed of such changes. Where changes materially and adversely affect the Customer’s rights or obligations, Axopar will provide reasonable prior notice and, where required by applicable law, the Customer shall have the right to terminate this agreement.

The Site is part of the AURA Consortium blockchain infrastructure operated for the purpose of enabling digital product passports (the “DPP”) and digital certificates of ownership. By claiming a Certificate of Ownership, the Customer acknowledges that certain information relating to the Product and its ownership status will be recorded on a distributed ledger technology (blockchain), which is designed to be immutable.

The blockchain infrastructure enabling the DPP and the Certificate of Ownership is technically operated by AURA Consortium.

AURA Consortium acts solely as a technical service provider. AURA Consortium is not a party to these Terms and Conditions and assumes no contractual obligations toward the Customer.

All rights and obligations relating to the Product and the Certificate of Ownership are exclusively between the Customer and Axopar.

The Site shall only be accessed by Customers.

When purchasing the Product, the Customer receives a Product equipped with a passive NFC tag (starting from Q2/2026), which can be read using an external NFC-enabled device.

To access the Site, the Customer must scan the NFC tag with his/her smartphone, after which the Customer will be able to view the DPP containing information relating to the Product. The Customer will be invited to accept these T&Cs and to enter the Personal Pin Code to claim the certificate of ownership.

The Customer is solely responsible for maintaining the confidentiality of the Personal Pin Code. The Customer shall notify Axopar immediately of any unauthorized use of his/her Personal Pin Code, or any other security breach.

The Customer must be at least 18 years old to access and use the Site. If the Customer is below 18, (s)he may only use the Site under the supervision of a parent or legal guardian who has reviewed and agreed to these T&Cs. Any parent or legal guardian of a Customer under the age of 18 that has reviewed these T&Cs, hereby agrees to be fully responsible in relation with the Customer's use of the Site.

Access to information about the Product

The information relating to the Product and made available on the Site ("Product Information") will display data relating to the Product, including certain information anchored on a blockchain, in order to provide a reliable source of information.

Depending on the Product and available services, the Customer may have access to certain information, which may include:

  • Essential product details of the Product

  • Verified ownership documentation, such as manuals

  • Faster support for claims and inquiries

  • Clarity about factory-installed features and options with a verified history

  • Easy access to and transparent information about the Product’s warranty status and terms

  • Owner-related updates and invitations to events

  • Boat-specific certificates

  • Guidance on how to maintain the boat regularly

  • Community-related information

Such information is provided for informational purposes only and may vary depending on the Product and the services available at a given time.

Axopar will make its best efforts to ensure that the Product Information is accurate and up-to-date, however, Axopar cannot guarantee the absolute accuracy of such information.

Information made available through the Digital Product Passport is compiled from internal records and connected systems and may be updated over time. While Axopar takes reasonable steps to ensure that such information is accurate and up to date, it does not guarantee that the information is complete, accurate or free from errors at all times. In case of any discrepancy between the information displayed in the Digital Product Passport and the actual characteristics of the Product, the Product itself and the original purchase documentation shall prevail.


Access to the digital Certificate of Ownership

Through the Site, the Customer will have the opportunity to claim the Certificate of Ownership. In this respect, the Customer will have to click on the "Claim Certificate of Ownership" button.

The Certificate of Ownership is implemented as a non-fungible token (NFT) recorded on the AURA Consortium’s private blockchain. The NFT constitutes a digital record of ownership status associated with the Product.

The NFT does not constitute a financial instrument, crypto-asset for investment purposes, or security, and does not confer any intellectual property rights in the Product beyond those provided under applicable law.

The NFT represents a digital record of ownership for identification and traceability purposes only and does not replace any statutory proof of purchase required under applicable consumer protection law.

The issuance of the Certificate of Ownership through the AURA Consortium infrastructure does not create a contractual relationship between the Customer and AURA Consortium.

The Certificate of Ownership does not constitute proof of legal title beyond the digital record maintained within the AURA Consortium infrastructure.

Once the Customer has downloaded his/her digital Certificate of Ownership, the Product will be exclusively linked with the Customer as a new single designated owner anchored on the AURA Consortium’s private blockchain through an NFT associated with the Product.

The digital Certificate of Ownership can be downloaded into the Customer’s native smartphone wallet application or as a PDF certificate.


Transfer of Ownership

The transfer of ownership of the Product may require the transfer of the corresponding Certificate of Ownership through the Site, in accordance with the procedures made available by Axopar.

The Certificate of Ownership may not be validly transferred outside the technical environment and processes provided or approved by Axopar. Any transfer carried out in breach of these procedures may not be recognized by Axopar.

The transfer of the Certificate of Ownership on the blockchain constitutes a digital record of the transfer of ownership status within the AURA Consortium infrastructure. It does not, by itself, replace or supersede any mandatory legal requirements applicable to the transfer of ownership of the Product under applicable law.

Axopar reserves the right to verify the identity of the parties involved in a transfer request and to suspend or refuse the validation of a transfer in case of suspected fraud, unlawful activity, or breach of these T&Cs.

Axopar will use commercially reasonable efforts to ensure the security of the Site. However, Axopar cannot guarantee that the Site will be free of viruses and/or other computer code that may contain contaminating or destructive features.

It is the Customer’s responsibility to put in place appropriate computer security measures (including anti-virus and other security controls) to meet his/her particular information security and reliability needs.

The Customer undertakes to use the Site in a lawful manner and in compliance with these T&Cs, and not to disrupt or interfere with the system resources, servers, or networks connected to or accessible through the Site.

The Customer may not access or use the Site for any purpose other than that for which we make the Site available. The Customer agrees that he/she will not (i) use any robot, spider, scraper, deep link or other similar automated data gathering or extraction tools, program, algorithm or methodology to access, acquire, copy or monitor the Site or any portion of the Site, (ii) attempt to decipher, decompile, disassemble, or reverse-engineer any of the software comprised in, or in any way making up a part of the Site.

The Customer is expressly prohibited from attempting to obtain a Certificate of Ownership belonging to a third party.

Axopar shall do its best efforts to maintain the Site available 7 days a week, and 24 hours a day. However, access to the Site may be temporarily suspended, in case of planned maintenance, migrations, updates, or constraints related to the functioning of the Internet, without any liability towards the Customer.

The transmission of data over the internet is inherently subject to technical limitations and reliability constraints. The networks used to transmit such data may have different characteristics and capacities, and are likely to be saturated at certain times of the day, which may affect their delay of transmission and their availability.

The Customer acknowledges that blockchain technology is based on distributed ledger systems which are designed to be immutable. Once a transaction is validated and recorded, it cannot be altered or deleted.

Axopar does not guarantee uninterrupted or error-free operation of the blockchain infrastructure. The Customer acknowledges the existence of inherent technological risks including network latency, protocol changes, cryptographic vulnerabilities, or third-party infrastructure failures.

To the maximum extent permitted by applicable law, Axopar shall not be liable for losses resulting from blockchain protocol failures, including temporary forks or protocol modifications, wallet malfunctions, loss of private keys, or failures attributable to third-party wallet providers.

The Site is Axopar’s property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site and the trademarks, and logos contained therein (the "Protected Elements") are owned by Axopar, or third party providers or licensors and are protected by intellectual property rights.

Any total or partial reproduction, downloading, modification or use of the Protected Elements, for direct or indirect commercial use and on any medium whatsoever, without the express prior written consent of Axopar, is strictly prohibited. Protected Elements provided on the Site may only be downloaded, printed or otherwise reproduced for personal, non-commercial purposes, provided that the copyright notices and other designations regarding ownership are retained.

Nothing contained in these T&Cs shall be construed as conferring any license or right to use any Protected Element of Axopar or of any other third party.

The DPP Site may include external links to sites maintained or controlled by third parties. Any approved links to websites not maintained by Axopar are provided solely as a convenience to Customers.

If the Customer uses those links, he/she will leave the Site. Axopar does not review any of these linked websites and make no representation, either express or implicit, as to the quality, relevance, accuracy, completeness, up-to-date status, availability or legality of the content of these websites. Axopar will not be responsible in any way for the products, services, information and other content offered via these linked websites. If the Customer decides to access any of the third-party sites linked to the Site, he/she does so entirely at his/her own risk.

In order to enable the Customer to access the Site and obtain its Certificate of Ownership, Axopar and its subcontractors may process personal data relating to the Customer. For information about the processing of Customer's data, the Customer is invited to consult Axopar’s Privacy Policy available at https://www.axopar.com/privacy-notice/ .

Certain ownership identifiers may be hashed and anchored on the blockchain. Such identifiers do not directly identify the Customer. Due to the immutable nature of blockchain technology, blockchain entries cannot be erased. However, any off-chain data enabling the association between the Customer and a blockchain identifier may be deleted in accordance with applicable data protection laws.

Should the Customer have any claim against Axopar regarding his/her access and/or use of the Site, the Customer must first contact Axopar's Customer Service Center and provide all necessary information and supporting documentation to enable Axopar to review and process the request.

Axopar implements means intended to ensure the security of the Site. Axopar does not control the risks related to the functioning of the Internet and draws the Customer’s attention to the existence of possible risks relating to the confidentiality of data transmitted through such networks.

To the extent permitted under applicable law, Axopar shall be liable only for direct damages caused by its gross negligence or wilful misconduct.

Nothing in these T&Cs shall exclude or limit liability where such exclusion or limitation is prohibited under mandatory consumer protection law.

In particular, nothing shall limit statutory rights granted to consumers under applicable law.

To the extent permitted under applicable law, Axopar will not be liable to the Customer for (i) any indirect loss or damage arising from the use of the Site (and in particular but without limitation loss of data, loss of chance or opportunities, loss of reputation) or from the impossibility to access the Site, use of the elements contained on the Site, from any default, bug or interruption of the Site.

Axopar shall not be liable for failures attributable to third-party infrastructure providers, including but not limited to blockchain network operators, wallet providers, or telecommunication services.

These T&Cs shall be interpreted, construed and governed in accordance with the laws of Finland, without reference to its choice of law rules.

Any dispute, controversy or claim arising out of, or in relation to, these T&Cs, including the validity, invalidity, breach, or termination thereof, will be submitted to the exclusive jurisdiction of the competent courts in Helsinki, Finland.

If the Customer is residing in a member state within the EU, and is a consumer, he/she additionally benefits from the protection provided to him/her by mandatory provisions of the law in his/her country of residence.

Furthermore, if the Customer is residing in a member state within the EU, he or she may bring a claim to defend his or her consumer protection rights in regard to these T&Cs in Helsinki, Finland, or in the EU country in which he/she resides.

If the Customer is a consumer, he or she may also bring proceedings before the courts of the country of his or her residence in accordance with applicable consumer protection regulations.

Where the Customer qualifies as a consumer under applicable law, nothing in these T&Cs shall affect the Customer’s mandatory statutory rights.

The Certificate of Ownership service is provided free of charge unless otherwise expressly stated.
